1. Provider and scope
hospivest (hospivest.com) is a service of STAYFRITZ SPAIN, S.L., Avenida Central 18, 07180 El Toro, Calvià, Mallorca, Spain, tax ID (NIF) B26591909 (“hospivest”, “we”).
These terms apply to the use of the platform by brokers, owners and other providers of properties (“Providers”) and by investors and prospective buyers (“Investors”). Paid services are offered exclusively to businesses and professionals, not to consumers. Deviating terms of users apply only if we agree to them in writing.
2. Our services
hospivest operates an online marketplace for hospitality real estate. We display properties, structure the information provided, research publicly available market data, calculate modelled KPIs (e.g. ADR, occupancy, RevPAR, NOI, yield, DSCR) and forward Investors' requests to Providers.
hospivest is neither a broker nor a party to any transaction, does not provide investment, legal, tax or financing advice and does not inspect properties. Contracts about properties are concluded solely between Provider and Investor.
We aim for high availability but do not guarantee uninterrupted access. Features may change during the beta phase.
3. KPIs and AI-supported preparation
Information is analysed and prepared with the help of artificial intelligence. Every figure is labelled by its origin: verified by the Provider, stated by the Provider, modelled or missing. Modelled values are estimates based on market research and standard assumptions. They do not replace your own due diligence and are not a representation or warranty.
4. Provider obligations
Providers warrant that they are entitled to market the property and to publish all information, documents and images submitted (in particular by mandate or consent of the owner) and that no third-party rights are infringed.
Providers review data taken over by the AI before approval, keep information up to date and promptly report a sale, reservation or withdrawal. Listings are published only after the Provider's explicit approval and our review.
Providers indemnify hospivest against third-party claims arising from inaccurate or unlawful information supplied by the Provider. We may reject, pause or remove listings if there are indications of a breach.
For the duration of the marketing, the Provider grants hospivest a simple, free-of-charge right to store, prepare, translate and publicly display the information and documents on the platform.
5. Investor requests
Investors can send requests to Providers via the platform. By sending a request, the Investor consents to us forwarding their details to the Provider. The Provider then processes the data under its own responsibility and uses it only to answer the request.
6. Plans, prices and payment
Use by Investors is free of charge. During the founding phase, one listing is free for Providers; further listings require a paid plan (e.g. Broker Professional: €299 per month, up to 5 active listings; Broker Business: €599 per month, up to 20 active listings; Enterprise on request). The prices shown on the platform at the time of purchase apply.
All prices are exclusive of statutory VAT, which is calculated according to the applicable rules (for intra-EU B2B services with a valid VAT ID, reverse charge may apply). Billing is monthly in advance via our payment provider Stripe; invoices are provided electronically.
In case of late payment we may pause listings until payment is made. We will announce price changes at least 30 days in advance; the Provider may cancel with effect from the change.
7. Term and cancellation
Plans run monthly and renew automatically for one month at a time. They can be cancelled at any time with effect from the end of the current billing month, e.g. via the customer portal. Fees already paid are not refunded pro rata. The right to terminate for good cause remains unaffected.
8. Liability
We are liable without limitation for intent and gross negligence and for injury to life, body or health. In cases of slight negligence we are liable only for breach of essential contractual obligations, limited to the typical, foreseeable damage and at most to the fees paid by the Provider in the last twelve months.
To the extent permitted by law, we accept no liability for the accuracy of Providers' information, for modelled KPIs or for decisions users make on that basis.
9. Access and data protection
Providers access the platform via a personal link that must be kept confidential. Information on the processing of personal data can be found in our privacy policy.
10. Changes to these terms
We may amend these terms for the future where there are objective reasons. We will notify Providers at least 30 days in advance; if the Provider does not object before the changes take effect, they are deemed accepted. We will point out this consequence in the notice.
11. Final provisions
Spanish law applies. The place of jurisdiction for businesses is Palma de Mallorca. Mandatory consumer protection rules remain unaffected. Should any provision be invalid, the remaining provisions remain valid.
